1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and DishOS ("Company," "we," "us," or "our") governing your access to and use of the DishOS restaurant operating system platform and related services.

By accessing or using DishOS, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our services.

2. Description of Services

DishOS provides a comprehensive restaurant operating system that includes:

  • Point of sale (POS) system
  • Inventory tracking and cost intelligence
  • Financial reporting and reconciliation
  • Customer loyalty program management
  • Staff scheduling and management tools
  • Analytics and business intelligence dashboards

3. Account Registration

To use DishOS, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Ensuring all users under your account comply with these Terms

You must be at least 18 years old and have the legal authority to bind your business to these Terms.

4. Subscription and Fees

Pricing

DishOS services are provided on a subscription basis. Current pricing is available on our website. We reserve the right to modify pricing with 30 days' notice.

Payment Terms

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • You authorize us to charge your payment method for all applicable fees
  • Failed payments may result in service suspension

Transaction Processing

DishOS does not hold or escrow your funds. Payment processing is handled directly through your chosen payment processor, and funds are deposited directly to your account according to the processor's settlement schedule.

5. Acceptable Use

You agree not to:

  • Use DishOS for any unlawful purpose or in violation of any regulations
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of the platform
  • Reverse engineer, decompile, or disassemble any part of DishOS
  • Use the service to transmit malware, spam, or harmful content
  • Resell, sublicense, or redistribute DishOS without authorization
  • Use automated systems to access the platform without permission

6. Intellectual Property

The DishOS platform, including all software, designs, text, graphics, and other content, is owned by DishOS and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use DishOS for your business operations.

You retain ownership of your data, including transaction records, menu information, and business data you input into DishOS.

7. Data and Privacy

Your use of DishOS is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

You are responsible for ensuring that your use of DishOS complies with all applicable data protection laws, including providing appropriate notices and obtaining necessary consents for collecting customer data through our platform.

8. Service Availability

We strive to maintain high availability of DishOS but do not guarantee uninterrupted service. We may:

  • Perform scheduled maintenance with advance notice when possible
  • Make emergency changes to protect the platform or users
  • Modify, suspend, or discontinue features with reasonable notice

We are not liable for any loss or damage resulting from service interruptions beyond our reasonable control.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISHOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from these Terms or your use of DishOS shall not exceed the amounts you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless DishOS and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate this agreement:

  • You may cancel your subscription at any time through your account settings
  • We may suspend or terminate your access for violation of these Terms
  • We may terminate with 30 days' notice for any reason

Upon termination, you may export your data within 30 days. After this period, we may delete your data in accordance with our data retention policies.

12. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the state where your business is located.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes through the platform or by email. Your continued use of DishOS after changes take effect constitutes acceptance of the modified Terms.

14. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and DishOS regarding the platform.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any right does not waive that right.
  • Assignment: You may not assign these Terms without our consent.
  • Governing Law: These Terms are governed by the laws of the State of Delaware.
